JoyFull Counseling Association Agreement Telehealth

SureHope Counseling and Training Center, PLLC (SureHope/Company) extends the following agreement offer:

Whereas each party is authorized to enter into this agreement, the parties agree to the following:

Responsibilities of JoyFull Counseling Association:

1. Marketing (website, print) of any digital content created by contractor to include videos, audio, or written publications, and also to include in-person seminars, trainings, information sessions.
2. Provide relevant information/support to assist the Contractor with the performance of their training role.
3. Will conduct team meetings each month.
4. Contractor will have access to office space at both locations. Contractor will communicate with owners to schedule office space.  Contractor will have max access to 4 session hours in office per month.  This will be based on office availability.

Responsibilities of Contractor

1. Supply any equipment and furnishings needed to perform the work except what has been agreed to be provided by SureHope.
2. Contractor agrees to pay SureHope on a monthly basis per the amount outlined below. The payment is due by the 3^rd business day of each month with a late charge of 20% added if paid after the allotted time.
3. Will immediately notify SureHope in writing if the Contractor has any reason to believe that a complaint has been made against them with any governing board.
4. Contractor agrees to allow SureHope to verify the amount owed each month.

Performance/Fee Agreement

1. First 70 clients in a month is $25 per client hour (defined as 50 mins) and after 70 client hours in a month, counselor keeps all remaining client income.
2. Minimum rent due (regardless of how few clients): $120
3. If Applicable:  Contractor will pay SureHope 30% of income produced through video or online sales.
4. If Applicable: Contractor will pay SureHope 30% of income produced from in-person seminars, trainings and information sessions
5. If Applicable: (In person groups only) Group Room = $50 per group session

Marketing     

Marketing opportunities will be provided within the JoyFull Counseling Association.  We recommend participating in these marketing events (i.e. newsletter, blog, etc.) as well as external marketing events within the community (i.e. workshops, seminars, etc.).  JoyFull also recommends that the counselor participates in the monthly team building meeting to grow professionally and go over various marketing opportunities.

Scheduling Fees

JoyFull asks for counselors to use a third party system for scheduling appointments.  Recommendations include CounSol, Simple Practice and Therapy Appointment.

Insurance                  

We recommend the use of insurance when starting your practice.  Any fees associated with the insurance billing process will be the responsibility of the counselor.

Additional Optional Services

The following are additional optional services you may pay for (per month or otherwise stipulated):

-Group Room = $50 per group session

-Discounted supervision fees for counselors that are part of SureHope may be available.  Contact supervisor for specific fees.

Termination

This agreement may be terminated by either party on provision of 30 days written notice to the other party, with or without cause.

Relationship of the Parties

INDEPENDENT CONTRACTOR STATUS.  The Contractor agrees to perform the Services hereunder solely as an independent contractor.  The parties agree that nothing in this Agreement shall be construed as creating a joint venture, partnership, franchise, agency, employer/employee, or similar relationship between the Parties, or as authorizing either Party to act as the agent of the other.  The Contractor is and will remain an independent contractor in its relationship to the Company.  The Company shall not be responsible for withholding taxes with respect to the Contractor’s compensation hereunder.  The Contractor shall have no claim against the Company hereunder or otherwise for vacation pay, sick leave, retirement benefits, social security, worker’s compensation, health or disability benefits, unemployment insurance benefits or employee benefits of any kind.  Nothing in this agreement shall create any obligation between either party or a third party.

By the signing of this document, both parties agree they understand all the provisions, and will follow each requirement as stipulated.  If a specific item is changed under the agreement of both parties, this does not void the entire contract.
